Terms & Conditions

The contract between you and Exafy Ltd governing use of the platform, subscriptions, and content.

01About these terms

These Terms and Conditions govern your use of Exafy, an online educational platform providing English practice, exam preparation, vocabulary learning, mock tests, listening materials, progress tracking, AI-assisted feedback, and gamified learning tools. By creating an account, subscribing, or otherwise using the platform, you agree to these terms. They take effect on the effective date shown above and replace any earlier version.

02Who may use the platform

The platform is intended for learners, parents, guardians, teachers, schools, and education providers. If the user is under 18, the account must be created or approved by a parent, legal guardian, school, or authorised adult. By creating an account for a child, you confirm that you have the legal right to give consent for the processing of their personal data and that your use of the platform with the child is consistent with the UK Information Commissioner's Office Age-Appropriate Design Code(the "Children's Code").

Schools, teachers, and education providers using class accounts are responsible for the lawful basis of pupil data processing and must inform parents and guardians as required by their local data-protection law. Exafy applies privacy-by-design defaults to learner accounts and does not use features that pressure children to share more personal data than is necessary. Safeguarding concerns can be reported to info@exafy.ai with the subject line "Safety".

03Educational purpose only

Exafy supports learning and exam preparation. We do not guarantee any specific grade, exam result, admission outcome, or improvement score. Practice tests, feedback, AI-generated support, and learning recommendations are educational tools and should not be treated as official exam marking unless we expressly state otherwise.

04Subscriptions and plans

Access to the platform requires a paid subscription. There is no free tier. We currently offer three plans, billed monthly or annually:

  • Standard — £29.99 / month or £270 / year
  • Premium — £49.99 / month or £450 / year
  • VIP (includes IB MYP English) — £79.99 / month or £720 / year

Annual plans include a 25% saving against the monthly equivalent. Prices are stated in pounds sterling (GBP). Prices include VAT where applicable; B2B school invoices may show VAT separately. The exact price, billing frequency, plan features, taxes, and renewal date will be shown clearly at checkout before payment is taken.

05Payment, renewals, and renewal reminders

Payments are processed by our payment provider, currently Stripe. We do not store full payment-card details on our servers. By subscribing, you authorise recurring payments at the chosen billing frequency until you cancel. After purchase you will receive an email confirmation showing your plan, price, billing frequency, and renewal date.

Subscriptions renew automatically unless you cancel before the next billing date. Where required by the Digital Markets, Competition and Consumers Act 2024, we will send a renewal reminder before each renewal payment. We will give you at least 30 days' notice of any material change to your subscription price before that change applies to your account; you may cancel before the new price takes effect.

06Cancellation and refunds

You can cancel your subscription using any of the following routes — all of which are no harder than signing up, in line with Digital Markets, Competition and Consumers Act 2024 §245:

  • Account settings on the platform — one click and a confirmation
  • The customer billing portal accessible from your account or renewal emails
  • Email to info@exafy.ai with the subject line "Cancel"

Cancellation stops future renewals. Access usually continues until the end of your current paid billing period unless we state otherwise. We do not generally refund a billing period once access has been provided, but where we are at fault, where the service is faulty, not as described, or not provided with reasonable care and skill, we will provide a refund or proportionate credit consistent with your statutory rights under the Consumer Rights Act 2015.

07Digital content — immediate access and 14-day rights

Because Exafy provides immediate access to digital learning content and online services, you will be asked at checkout to confirm whether you want access to begin straight away. By starting your subscription with that confirmation, you acknowledge that under the Consumer Contracts Regulations 2013 (regulation 37) and the Digital Markets, Competition and Consumers Act 2024, beginning use of the digital content before the end of the 14-day cancellation period means you may lose your right to cancel for a refund of unused time. You may still cancel future renewals at any point.

If you do not give that confirmation, the standard 14-day cancellation period applies in full and we will not provide content or services until the period ends or you tell us otherwise. Nothing in this section affects your statutory rights under the Consumer Rights Act 2015 if the service is faulty, not as described, or not provided with reasonable care and skill.

08Upgrades, downgrades, and failed payments

If you upgrade between plans during a billing period, you may be charged the prorated difference where supported by our payment provider, and the upgrade usually takes effect immediately. Downgrades usually take effect from the next billing period unless we state otherwise.

If a payment fails, we will attempt to retake payment for up to 7 days and notify you. If payment remains unsuccessful, access may be paused, and after 14 days the account may be suspended. Reactivation requires the outstanding balance to be settled.

09Acceptable use

You may use the platform for English learning, exam preparation, vocabulary practice, listening, reading, writing, and speaking development, and teacher- or school-supported study. You must:

  • Keep your login details secure and use accurate account information
  • Access only accounts you are authorised to use
  • Tell us promptly if you suspect unauthorised access via info@exafy.ai

You must not:

  • Share paid access with unauthorised users or bypass payment controls
  • Copy, scrape, resell, redistribute, publish, or commercially exploit our questions, audio, mock exams, explanations, designs, software, or learning materials
  • Reverse engineer or attempt to derive source code from any part of the platform
  • Use automated bots, scrapers, or crawlers without our prior written permission
  • Upload viruses, malware, or harmful code
  • Attempt to hack, overload, or disrupt the platform
  • Impersonate another person, harass, threaten, bully, or abuse other users
  • Upload illegal, explicit, hateful, violent, or discriminatory content
  • Use the platform's answers, explanations, AI feedback, or mock tests to gain an unfair advantage in real exams, school assessments, or coursework — academic integrity matters and breaches of it may also breach your school's rules

We may suspend or terminate accounts that breach these rules or create risk for learners, the platform, or other users.

10Access to content and intellectual property

Your subscription gives you a personal, limited, non-transferable, revocable licence to use the platform during your active subscription. Exafy and its licensors retain all rights, title, and interest in the platform, including the software, designs, audio, questions, explanations, learning materials, and other content. The "Exafy" wordmark and logo are trademarks of Exafy Ltd. Other exam names and trademarks remain the property of their respective owners (see §12).

If you believe any platform content infringes your intellectual property rights, please send a takedown notice to info@exafy.ai with the subject line "IP Notice", including the work alleged to be infringed, the location of the infringing content on our platform, your contact details, and a statement of good-faith belief, in line with the Copyright, Designs and Patents Act 1988.

11AI-assisted features

Some feedback, explanations, recommendations, audio, or practice materials are produced or supported by AI. AI output is educational and may be incomplete, inaccurate, or generic. AI feedback is not a substitute for the judgement of a qualified teacher, tutor, examiner, or professional. You should not rely on AI feedback for high-stakes decisions, including university admissions, employment, immigration, or exam appeals. For official exam marking, please use the appropriate examination body.

Consistent with Article 22 of the UK GDPR, we do not make decisions producing legal or similarly significant effects on you using solely automated means. If you spot an error in AI-generated content, please report it to info@exafy.ai with the subject line "AI feedback".

12Exam affiliation disclaimer

Exafy is an independent education platform. We are not affiliated with, endorsed by, or licensed by IELTS, TOEFL, Pearson PTE, Cambridge English (KET / PET / FCE / CAE / CPE), OET, the International Baccalaureate Organization (IB), Qiyas / STEP, or any other examination body unless we expressly state otherwise in writing.

Exam names, trademarks, and logos remain the property of their respective owners. Practice materials are designed to mirror exam style and structure for educational purposes only and should not be presented as official exam content.

13Learner safety and appropriate content

We aim to provide age-appropriate, culturally respectful, education-focused content. We avoid unsuitable topics including explicit material, gambling, alcohol or drug promotion, graphic violence, hate, partisan political persuasion, religious provocation, unsafe challenges, and material inappropriate for school-age learners. Our full safety approach is published in our Learner Safety Policy.

14Privacy and data protection

Our use of personal data is explained in our Privacy Policy and our Cookie Policy. If you are under 18 we recommend reading our child-friendly privacy summary at /privacy/kids before signing up. The data controller for your personal data is Exafy Ltd, registered office 20 Wenlock Rd, London N1 7GU, UK.

15Service availability and changes

We aim to keep the platform available and reliable but we do not guarantee uninterrupted access. We perform planned maintenance on a best-effort basis outside peak hours and will display a notice where possible. Audio, listening tracks, mock tests, and question banks may be updated, replaced, or temporarily unavailable as we improve content. We may add, alter, or remove features at any time. We will give reasonable notice of changes that materially reduce the value of an active subscription, and we are not responsible for losses caused by short-term outages, third-party service failures, or scheduled maintenance.

16User submissions

Anything you submit to the platform — written essays, answers, voice recordings, profile content, messages, or feedback — remains your property. By submitting it, you grant Exafy a non-exclusive, royalty-free, worldwide licence to host, process, store, and analyse the submission for the purpose of providing the service (including AI feedback, mistake tracking, progress analytics, content moderation, and product improvement).

We may apply automated and human moderation to detect prohibited content (illegal material, harassment, malware, attempts to extract our platform content). You must not submit anything you do not have the right to submit, anything that infringes third-party rights, or anything that breaches the acceptable-use rules in §9. We may remove submissions that breach these rules and will retain a record where required by law.

17Third-party services

The platform relies on third-party providers for payments, hosting, analytics, email, AI, audio generation, storage, and authentication. We are not responsible for third-party outages, but we will take reasonable steps to choose reputable providers and to protect users. The current list of named processors is published in our Privacy Policy.

18Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot legally be excluded. Subject to that, we are not liable for indirect or consequential losses, loss of profit, loss of business, loss of data caused by user error, or for the outcome of any examination, application, or assessment. Where we are liable, our total aggregate liability in any 12-month period is capped at the amount you paid for your subscription in that period.

19Indemnification

You agree to indemnify and hold harmless Exafy Ltd, its officers, employees, and agents against any third-party claims, damages, or costs (including reasonable legal fees) arising from your breach of these terms, your unlawful use of the platform, or your User Submissions where we are not at fault. We will give you prompt notice of any such claim and reasonable cooperation in its defence.

20Variation of these terms

We may update these terms from time to time. Material changes will be notified to you by email or in-app at least 30 days before they take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated terms. If you object to a material change, you may cancel without penalty before the change takes effect.

21Termination

You may stop using the platform at any time. We may suspend or terminate access if you breach these terms, misuse the service, fail to pay, or create a security or safeguarding risk. Sections that by their nature should survive termination — including §10 (IP), §11 (AI features), §16 (User Submissions), §18 (Liability), §19 (Indemnification), §22 (Governing Law), §23 (Notices), and §25 (Complaints) — will continue to apply after termination.

22Governing law and jurisdiction

These terms are governed by the laws of England and Wales. The courts of England and Wales will have non-exclusive jurisdiction over any dispute, except that consumer law gives you the right to bring proceedings in the part of the UK in which you live.

23Notices

Legal notices to Exafy must be sent to info@exafy.ai with the subject line "Legal Notice", or by post to 20 Wenlock Rd, London N1 7GU, UK. We may send notices to you using the email address on file for your account or via in-app messaging. Notices are deemed received on the next business day after sending.

24Severability, entire agreement, assignment

If any provision of these terms is held to be invalid or unenforceable, that provision is severed and the remaining provisions continue in full force. These terms, together with the policies they reference (Privacy Policy, Cookie Policy, Learner Safety Policy), constitute the entire agreement between you and Exafy in relation to the platform and supersede any earlier agreements on the same subject. You may not assign or transfer your rights under these terms without our prior written consent. We may assign or transfer our rights as part of a corporate transaction (such as a merger, acquisition, or sale of assets) on reasonable notice to you.

25Complaints process

If you have a complaint about the service, please contact us at info@exafy.ai with the subject line "Complaint" and a clear description of the issue. We aim to acknowledge complaints within 3 working days and provide a substantive response within 10 working days.

If we cannot resolve your complaint internally, you may escalate to your local consumer-protection body. In the UK, that is the Citizens Advice Consumer Service and, for unresolved disputes about digital subscriptions, the Competition and Markets Authority. Nothing in this complaints process limits your statutory rights or your right to bring legal proceedings.
